Content draft. This page reflects TemplateHub’s intended practices based on the current product stack. It is not yet final counsel-approved wording and is not binding until an official effective date is published.
1. Acceptance and Relationship
These Seller Terms apply to anyone who applies to sell, is approved to sell, or lists and sells digital products on TemplateHub.
By submitting a seller application, connecting a payout account, listing a product, or continuing to sell after updates, you agree to these Seller Terms, the Terms of Service, the Privacy Policy, the License Terms (as they define what buyers receive), the Refund Policy (as it affects payouts), and the DMCA / Copyright Policy.
You are an independent seller, not an employee, partner, or joint venturer of TemplateHub. You control your working methods subject to marketplace rules. Nothing in these terms creates an employment relationship.
This page is a content draft aligned to the current multi-vendor product (applications, listings, Stripe Connect payouts, commissions). It is not legal advice and is not final until an Effective date is published after business confirmation and counsel review.
2. Eligibility and Onboarding
You must complete the seller application flow (basic info, contact details, social/portfolio information, and review) and receive approval before selling. TemplateHub may approve, deny, or request more information at its discretion.
You must provide accurate identity and contact information. Misrepresentation in an application is grounds for rejection or later removal.
You must be legally able to enter commercial contracts and to receive payouts in the regions supported by the active payment partner. Age and capacity rules follow the Terms of Service and applicable law.
At application submit, sellers must confirm acceptance of these Seller Terms and the Privacy Policy via the in-product checkbox on the review step. Links open the full documents. Requires Business Input for durable server-side acceptance logging, version stamping, and any additional onboarding attestations.
3. Account Verification and Payout Setup
To receive payouts, you must complete connected-account onboarding with the active payment partner. Today that partner is Stripe Connect. Identity verification documents required by Stripe are collected and processed by Stripe under its terms — not stored as full identity document files in TemplateHub product databases.
TemplateHub stores a connected payout account identifier and related seller profile fields needed to calculate commissions and request transfers after sales.
If TemplateHub later migrates payout architecture (for example to a different provider or an internal ledger with holding periods), sellers may be required to re-onboard. That migration is not live; do not treat Whop or any future provider as current unless this section is updated.
Failed, restricted, or incomplete payout accounts may delay or block transfers even when sales occur.
4. Listing Rules and Quality Standards
Listings must accurately describe the Item: name, short description, detailed description, category, price, license type, tech stack tags, previews, and downloadable package.
Provide working primary files (ZIP packages stored for post-purchase delivery) and clear thumbnails/screenshots via the platform’s upload flows. Do not use misleading previews that substantially misrepresent what is delivered.
TemplateHub may review, feature, unfeature, edit for formatting, reject, or remove listings that fail quality, security, or policy checks. Approval of a listing is not a warranty that the Item is non-infringing or fit for every buyer purpose.
Keep prices and license selections consistent with what you are authorized to offer. Choose Single, Multi, or Extended accurately so buyers receive the correct License Terms tier.
5. Prohibited Products and Content
You must not list or upload:
Malware, backdoors, cryptominers, phishing kits, credential stealers, or other harmful code.
Nulled, cracked, pirated, or otherwise unauthorized copies of commercial themes, plugins, UI kits, design systems, or software.
Assets you do not have rights to sell (stolen Figma kits, scraped component libraries, brand clones intended to confuse, etc.).
Illegal content, content that exploits minors, or content TemplateHub reasonably bans for safety.
Listings whose primary purpose is spam, SEO manipulation, or payment fraud.
Products designed primarily to attack, defraud, or unlawfully surveil third parties.
TemplateHub may remove prohibited content without prior notice when risk is material, and may suspend sellers involved.
6. Intellectual Property Warranties and Indemnity
You represent and warrant that you own or control all rights necessary to list and sell each Item and to grant buyers the License Terms tier you selected.
You represent that the Item does not infringe third-party copyrights, trademarks, design rights, or other IP, and that bundled third-party components are used in compliance with their licenses.
You agree to indemnify and hold harmless TemplateHub from claims, damages, costs, and reasonable legal fees arising from your listings, files, IP breaches, or seller content — including costs of responding to DMCA notices related to your Items.
Copyright complaints are handled under the DMCA / Copyright Policy. You must cooperate promptly with investigations and counter-notice procedures where applicable.
7. License Tiers Sellers May Offer
When creating or editing a product, you select a license type: Single (one project), Multi (up to five projects), or Extended (unlimited projects + resale as defined in License Terms).
You must not market a narrower license as if it included broader rights. Buyer-facing License Terms at /license describe the grant buyers receive for each tier.
You remain the copyright owner of your original work (subject to third-party components). TemplateHub and buyers receive only the licenses needed to operate the marketplace and use purchased files under the License Terms.
8. Pricing Rules
You set list prices for your products within platform validation rules (price is required and must be a valid amount in the product forms).
Do not use pricing to evade commissions (for example off-platform payment requests to complete a TemplateHub-discovered sale), nor bait-and-switch pricing that differs from the charged checkout amount for the same Item.
Platform-wide coupons may reduce the amount buyers pay; fulfillment calculates order amounts after discount and then applies commission as described in Section 9.
9. Fees and Commission
TemplateHub charges a platform commission on sales. The default commission rate in platform settings is 15.00% (fifteen percent) of the post-discount order amount, unless a different rate is configured for the platform or shown on your seller profile.
Commission is calculated at order fulfillment: from the amount the buyer paid for the Item after any coupon, TemplateHub records commission and seller payout (amount minus commission). Products listed by admin accounts may be configured for 0% commission in code paths that treat admin-sold items differently — that is an internal platform rule, not a general seller discount.
Administrators may change the global default commission rate in platform settings. Material rate changes should be communicated to sellers; exact notice period is TBD / Requires Business Input before final publication.
Payment-processor fees charged by Stripe (or a future provider) may be separate from platform commission depending on account configuration. Sellers should review their connected-account statements for processor-level fees. Precise split of processor fees is TBD where not shown in-product.
10. Payouts, Thresholds, and Reserves
After a successful checkout, TemplateHub fulfills orders and requests seller transfers for seller payout amounts to connected Stripe accounts where onboarding is complete (transfer jobs may run asynchronously via background processing).
Payout timing, minimum thresholds, rolling reserves, and holding periods: partially product-dependent and partially TBD. Today’s model transfers seller payout after purchase via Stripe Connect rather than a published multi-day Whop-style ledger hold. Any future holding-period or internal-balance model will be described here when shipped — it is not live now.
Failed transfers (missing connected account, provider restrictions, compliance holds) may leave payouts pending until resolved. TemplateHub is not responsible for delays caused solely by the payment partner’s risk or identity checks.
You must keep payout account details accurate. Wrong accounts or frozen Stripe accounts can permanently delay funds.
11. Refunds, Chargebacks, and Seller Liability
Buyer refunds are governed by the Refund Policy. When an order is refunded, TemplateHub refunds the buyer through the payment processor and attempts to reverse the related seller transfer.
You are responsible for your share of refunded or charged-back amounts. If automatic reversal fails, you must repay TemplateHub on request for amounts already paid out on that order.
High refund or chargeback rates, defective packages, or misrepresented listings may lead to reserves, delisting, suspension, or termination.
Do not encourage buyers to evade TemplateHub checkout or to abuse chargebacks.
12. Taxes
You are responsible for determining and paying taxes that apply to your seller income, unless law requires TemplateHub to collect or report specific amounts.
Tax invoicing, VAT/GST handling, and information reporting (for example forms required in certain countries) are TBD / Requires Business Input and counsel. This draft does not provide tax advice.
13. Customer Support Expectations
Buyers may ask product questions or report defects. You should respond in good faith within a reasonable time with accurate information about your Item.
Platform support handles payment, account, and download-access issues. You should not promise refunds that only TemplateHub admins can execute through refund tools.
Repeated failure to support materially defective listings may result in removal or refunds funded in ways that affect your payouts (Section 11).
14. Platform Rights
TemplateHub reserves the right to moderate, remove, rank, feature, unfeature, or limit distribution of listings; to suspend seller accounts; to change platform features; and to enforce these Seller Terms.
We may use automated and manual review, malware scanning where implemented, admin tools, and payment-risk signals. We may cooperate with rights holders under the DMCA policy.
Nothing requires TemplateHub to carry any particular listing or to guarantee search placement or sales volume.
15. Data and Privacy Obligations
Through sales, you may receive buyer name, email, and order/product details needed to fulfill support for that purchase. Use that information only for legitimate order support and legal compliance — not for unrelated marketing spam, sale to data brokers, or harassment.
Handle buyer personal data in line with applicable law and the Privacy Policy’s description of seller sharing. Delete or minimize buyer data when no longer needed for the order relationship, subject to legal retention duties you may have.
Security incidents involving buyer data you stored offline should be handled under applicable law; notify TemplateHub promptly if platform accounts or delivery channels are implicated.
16. Termination and Effects
You may stop selling and request to end your seller status subject to resolving open payouts, refunds, and disputes.
TemplateHub may suspend or terminate selling privileges for policy violations, fraud, IP infringement, extreme refund/chargeback rates, or prolonged payout-account failure.
On termination, listings may be delisted. Completed historical orders remain subject to the Refund Policy and License Terms for those buyers. Outstanding balances owed either way remain payable.
Sections on IP warranties, indemnity, fees already earned or owed, refunds/chargebacks, and liability survive termination as applicable.
17. Liability Caps
To the maximum extent permitted by law, TemplateHub’s liability to you as a seller for platform operations is limited as described in the Terms of Service liability section, and in no event exceeds the platform commissions actually retained by TemplateHub on your sales in the three months before the claim (or USD $50, if greater), except where mandatory law requires otherwise.
TemplateHub is not liable for lost profits from search ranking changes, denied applications, or payment-partner delays outside our reasonable control.
Final liability language is subject to counsel review (TBD).
18. Changes to Seller Terms
We may update these Seller Terms as the product, fees, or law change. The version and Updated date at the top will change when revisions are posted.
Material commercial changes (for example commission defaults) should be communicated through reasonable seller-facing notice when the platform supports it; exact notice mechanics are TBD / Requires Business Input.
Continued listing or selling after a published Effective date constitutes acceptance of the updated Seller Terms. If you disagree, stop selling and remove listings.
19. Contact
Seller policy and onboarding questions should use TemplateHub’s designated seller/support contact once published.
Business input still required: canonical email, legal entity name, and mailing address (Requires Business Input).
Operational path while details are finalized: Contact surface when available, or channels published in seller emails and dashboard notices.
